Terms and Conditions

1. General Overview

These Terms and Conditions govern all services provided by ProbionalytiX Laboratories Australia (hereafter referred to as “ProbionalytiX,” “we,” or “us”). By engaging our services, you (“the Client”) agree to adhere to the following terms and conditions. These terms are subject to updates, and it is your responsibility to review them periodically.

2. Scope of Services

ProbionalytiX provides a range of services including but not limited to microbiological analysis, potency and efficacy analysis, stability studies, chemical analysis, microbial profiling, contamination control, and consulting services on probiotic strain formulation and troubleshooting. The specific scope of services is outlined in the service agreement or project proposal provided to the Client.

3. Service Agreements

All service engagements must be formalized with a written agreement specifying project details, timelines, costs, and deliverables. Services will only commence upon receipt of a signed agreement and any required deposits.

4. Pricing and Payment

• All pricing for services is outlined in the project agreement and is subject to change based on service modifications or additional requests.
• A non-refundable deposit may be required to initiate services.
• Full payment is due as specified in the agreement. Late payments may incur a penalty fee of 2% per month or the maximum allowed by law.
• Payment methods accepted include bank transfers, credit card payments, and other forms as agreed upon.

5. Turnaround Times

Turnaround times for services are estimates and are not guaranteed unless explicitly stated in the service agreement. Delays due to unforeseen circumstances, including equipment failure or supply chain issues, will be communicated promptly.

6. Confidentiality and Data Protection

ProbionalytiX is committed to protecting the confidentiality of Client data. All information, results, and data generated through services are treated as proprietary and confidential. We implement industry-standard data security measures to safeguard client information.

• Non-Disclosure Agreements (NDAs) may be signed upon request.
• Client data will not be shared with third parties unless required by law or with explicit client consent.

7. Intellectual Property

All intellectual property, including reports, findings, and data generated during the project, will remain the property of ProbionalytiX until full payment is received. Once payment is complete, intellectual property rights are transferred to the Client, excluding methodologies and proprietary technologies used in the analysis.

8. Limitation of Liability

ProbionalytiX will not be held liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use our services. The Client’s exclusive remedy for any breach by ProbionalytiX is limited to re-performing the service or refunding the service fees.

9. Compliance and Regulatory Standards

ProbionalytiX operates in compliance with national and international regulations, including ISO/IEC 17025 standards, GMP requirements, and relevant industry guidelines. The Client is responsible for understanding and complying with the regulations applicable to their product or service.

10. Sample Handling and Storage

• Samples submitted for testing must be adequately labeled, preserved, and transported according to ProbionalytiX’s guidelines to ensure the integrity of results.
• Any unused sample material will be retained for a period specified in the service agreement, after which it will be disposed of unless alternative arrangements are made.
• ProbionalytiX accepts no liability for damage to samples due to inadequate packaging or external factors beyond our control.

11. Results and Reporting

• Reports will be delivered in the format agreed upon in the service contract. Any interpretation or consulting based on the results must be requested separately.
• ProbionalytiX does not guarantee that results will meet the Client’s anticipated outcomes.

12. Amendments and Cancellations

• Amendments to the service agreement must be made in writing and agreed upon by both parties.
• Cancellations are subject to a cancellation fee, as outlined in the agreement, and may include charges for any work already completed.

13. Governing Law and Jurisdiction

These terms are governed by the laws of Australia. Any disputes arising from these terms or related to ProbionalytiX’s services shall be subject to the jurisdiction of Australian courts.
